Public offer agreement

The following text is the Agreement between the online store, the site of which is located on the Internet at www.consys.com.ua, hereinafter referred to as the “Internet store” and the user of the services of the online store, hereinafter referred to as the “Buyer”, and defines the conditions purchasing goods through the website of the online store.

1. General Provisions

• 1.1. This Agreement is a public offer agreement (in accordance with Articles 633, 641 and Chapter 63 of the Civil Code of Ukraine), its conditions are the same for all buyers, regardless of status (individual, legal entity, individual – entrepreneur).
• 1.2. If the terms of this Agreement are accepted, that is, the public offer of the online store, the user becomes a Buyer.

2. Concepts and definitions

• 2.1. “Seller” – a company that sells the goods presented in the online store.
• 2.2. “Internet store” represented by Ltd – PCE “Systems of Control – CONSYS”, founded in accordance with the Legislation of Ukraine, Code USREOU 31765778, operates a website located on the Internet at www.consys.com.ua
• 2.3. “Product” – a list of products is published on the website of the online store.
• 2.4. “Buyer” – an individual who has reached the age of eighteen, receives information from the online store, places an order and buys goods presented on the site of the online store for purposes not related to the implementation of entrepreneurial activities, or a legal entity / individual entrepreneur
• 2.5. “Order” – the Buyer’s application has been completed and placed, addressed to the online store, for the purchase and delivery of the Goods on his behalf.
• 2.6. “Site” – a set of pages, access to which is carried out using a web browser, and program modules, united by a single control system, located on the Internet at www.consys.com.ua and contains all the signs of a public offer for the sale of goods.

3. Subject of the Agreement

• 3.1. The Seller undertakes to transfer the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
• 3.2. This Agreement regulates the purchase and sale of goods in the Online Store, including:
  • voluntary choice by the Buyer of goods in the Online Store;
  • independent registration by the Buyer of the order in Online store;
  • payment by the Buyer of the order placed in the Online Store;
  • processing and delivery of the order to the Buyer in the property under the terms of this Agreement.

4. Ordering procedure

• 4.1. The buyer places an order in the online store through the “basket form”, or by placing an order by e-mail or by phone number specified in the contacts section of the online store.
• 4.2. The term of order formation within one working day from the moment of registration of the application. If the order is placed on a weekend or holiday, the term of formation begins on the first working day after the weekend.

5. Order payment procedure

• 5.1. The Buyer pays for the Order using the services provided by the store. Read more about payment methods here
• 5.2. The method of payment is chosen by the buyer when choosing the product and can be agreed with the representative of the online store.

6. Term, cost and terms of delivery of the order

• 6.1 . The total delivery time of the goods consists of the order processing time and the delivery time. Order processing time – from one working day to two. Delivery methods are described in detail in the section of the site “Delivery information”. Delivery time depends from the address of the settlement and the chosen method of delivery. •  6.2 . When ordering wholesale batches, terms and methods of delivery are agreed separately in each case.
• 6.3. The seller is not responsible for the delivery time of the order, because they depend on the actions of third parties (carriers).

7. Rights and obligations of the parties

• 7.1. The seller must:
  • comply with the terms of this Agreement;
  • fulfill the Buyer’s order in case of payment from the latter;
  • transfer the goods to the Buyer in accordance with the selected sample in the online store, the order and the terms of this agreement.
  • check the qualitative and quantitative characteristics of the goods during its packaging in the Seller’s warehouse.
• 7.2. The seller has the right to:
  • unilaterally terminate the provision of services under this agreement in case of violation by the Buyer of the terms of this agreement.
• 7.3. The buyer must:
  • timely pay and receive orders under the terms of this agreement.
• 7.4. The buyer has the right to:
  • place an order in the online store;
  • require the Seller to comply with the terms of this Agreement.
  • make a return of the goods under the conditions specified here

8. Responsibility of the parties

• 8.1. The Parties shall be liable for non-performance or improper performance of the terms of this agreement in the manner prescribed by this agreement and current legislation of Ukraine.
• 8.2. The seller is not responsible for:
  • inconsistency of color scale of the goods which can differ from a photo on the corresponding page of shop;
  • the content and truthfulness of the information provided by the Buyer when placing an order;
  • delays and interruptions in the provision of Services (order processing and delivery of goods), which occur for reasons beyond its control;
  • illegal illegal actions committed by the Buyer through this access to the Internet;
  • the transfer by the Buyer of his network identifiers – IP, MAC-addresses, login and password to third parties;
• 8.3. The Buyer, using the Internet access provided to him, is independently liable for damage caused by his actions (personally, even if under his login was another person) to persons or their property, legal entities, the state or moral principles of morality.
• 8.4. In case of force majeure, the parties are released from the terms of this agreement. Force majeure for the purposes of this Agreement means events of an extraordinary, unforeseen nature that preclude or objectively impede the performance of this Agreement, the occurrence of which the Parties could not have foreseen and prevented by reasonable means.
• 8.5. The parties shall make every effort to resolve any differences solely through negotiations.

9. Other conditions

• 9.1. The online store reserves the right to unilaterally amend this agreement subject to its prior publication on the website www.consys.com.ua
• 9.2. An online store is designed to organize a remote way of selling goods over the Internet.
• 9.3. The buyer is responsible for the accuracy of the information specified when ordering. In this case, upon acceptance (ordering and subsequent payment for the goods), the Buyer gives the Seller his consent to the collection, processing, storage, use of his personal data, within the meaning of the Law “On Personal Data Protection”.
• 9.4. Payment by the Buyer for the order placed in the Online Store means the Buyer’s full consent to the terms of the sales contract (public offer) and is the actual date of conclusion of the Purchase Agreement between the Buyer and the Seller.
• 9.5. The use of the online store resource for previewing the goods, as well as for placing an order for the Buyer is free of charge.
• 9.6. The information provided by the Buyer is confidential. The online store uses information about the Buyer exclusively for the purpose of order processing, sending messages to the Buyer, delivery of goods, settlements, etc.

10. Term of the contract

• 10.1 . This agreement comes into force from the moment the Buyer makes 100% prepayment (acceptance) of the order and is valid until the full fulfillment of obligations by the parties, except in cases of its early termination.
• 10.2 . Until the expiration of this Agreement may be terminated by mutual consent of the parties until the actual delivery of goods, by refund (excluding payment for delivery services) to the card account of the Buyer specified in the written application.
• 10.3 . The parties have the right to terminate this agreement unilaterally, in case of non-fulfillment by one of the parties of the terms of this Agreement and in cases provided by the current legislation of Ukraine.
